TERMS OF SERVICE.

1. Acceptance of terms

By accessing or using pricepul ("the Service"), you agree to be bound by these Terms. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service. Use of the Service is void where prohibited.

2. Description of service

pricepul monitors web pages you designate — typically competitor pricing pages — and notifies you when content changes. We use automated scraping, content comparison, and AI-generated summaries to provide this intelligence.

The Service is provided "as-is" and is subject to change. Features, pricing, and availability may be updated with notice as described in Section 10.

3. Acceptable use

You may use pricepul to monitor publicly accessible web pages. You are responsible for ensuring that your use complies with applicable laws and the terms of use of the websites you monitor.

You may not use pricepul to: access pages that require authentication without authorization; circumvent anti-scraping protections in a way that could expose pricepul's infrastructure to legal liability; monitor content that is illegal to collect in your jurisdiction; or interfere with the operation of any website.

We reserve the right to refuse monitoring of any URL at our discretion.

4. Accounts and security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at security@pricepul.io if you suspect unauthorized access.

Each workspace may add members up to the seat limit of your plan. You are responsible for all activity that occurs within your workspace.

We reserve the right to suspend accounts that we believe have been compromised, are being used fraudulently, or violate these Terms.

5. Payment and billing

Paid plans are billed in advance on a monthly or annual basis. All prices are in USD unless otherwise stated.

Upgrades take effect immediately and are prorated. Downgrades take effect at the end of the current billing period.

You authorize us to charge your payment method for recurring fees. Failed payments may result in service suspension after a 5-day grace period.

We do not offer refunds except where required by law or at our discretion within 7 days of initial purchase.

6. Intellectual property

pricepul, its logo, product design, and underlying technology are owned by pricepul, Inc. and protected by copyright, trademark, and other laws.

You own your data. We claim no intellectual property rights over competitor URLs, configurations, or insights you create.

You grant pricepul a limited license to process data you provide (URLs, configurations, workspace settings) solely to deliver the Service.

7. Disclaimers and limitations

THE SERVICE IS PROVIDED "AS IS." WE MAKE NO WARRANTIES REGARDING ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF DETECTED CHANGES. PRICING DATA ON COMPETITOR SITES MAY CHANGE FASTER THAN OUR DETECTION INTERVAL, OR MAY NOT BE DETECTABLE DUE TO TECHNICAL COUNTERMEASURES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, pricepul'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRIOR TO THE CLAIM.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

8. Indemnification

You agree to indemnify and hold harmless pricepul, Inc., its officers, directors, employees, and agents from any claim, damage, liability, or expense (including reasonable legal fees) arising from: your use of the Service; URLs you designate for monitoring; your violation of these Terms; or your violation of any third party's rights.

9. Termination

You may cancel your account at any time from Settings → Account → Cancel Subscription. Access continues through the end of your paid period.

We may terminate or suspend access for violation of these Terms, at-risk or illegal activity, or non-payment — generally with notice except where immediate action is required to protect the security of the Service or other users.

Upon termination, your right to use the Service ends. Data deletion follows the schedule in our Privacy Policy.

10. Changes to terms

We may update these Terms. For material changes, we will provide at least 14 days' notice by email and in-app notification. Continued use after the effective date constitutes acceptance.

For non-material changes (typos, formatting, clarifications of existing practices), we may update without notice and will update the effective date below.

11. Governing law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration in San Francisco, CA under JAMS rules, except that either party may seek injunctive relief in court.

CLASS ACTION WAIVER: You waive the right to participate in a class action lawsuit or class-wide arbitration against pricepul.
